The Business, Real Estate and Corporate Transactions Team, chaired by Michael J. Genovese, serves the general business and real estate needs of a large number of private entities, investors and entrepreneurs concerning all aspects of their business and investment needs. The team is skilled in negotiating the purchase and sale of businesses, including stock and asset dispositions, mergers and acquisitions, as well as general contract analysis, negotiation and preparation. The experience gained through representing clients in the business community for thirty (30) years allows us to effectively and efficiently structure business entities and organizations in the optimal method for the particular transaction.

Our Real Estate Transactional Team has represented clients in virtually every aspect of real estate acquisition, financing, ownership, management and sale. Our attorneys are recognized as being “deal makers” in successfully negotiating the consummation of transactions in keeping with our clients’ desires and goals.

Whether a straight-forward real estate purchase or sale, or the acquisition or disposition of complex real estate portfolios, the team specializes in negotiating, structuring and completing documentation for the transaction, including, purchase agreements, loan agreements, promissory notes, security instruments, property management agreements and legal opinions. We have successfully completed several acquisitions and dispositions of large residential projects with multi-million dollar primary and mezzanine financing, construction financing and equity participation, involving such lenders as Wachovia, GMAC, Fannie Mae and Freddie Mac. Additionally, we routinely advise clients concerning Internal Revenue Code Section 1031 tax deferred exchanges.
